loans. Prof. Emil Brincker of Edward Nathan Sonnebergs discussed this ruling on
Tax Issues, broadcast on

A typical BEE deal will involve the decision by Company A to meet government BEE requirements and, in
so doing, the company issues new shares equating to 26% at par value to a BEE partner. The said shares
would amount to R2600. The effect of this transaction is that the existing shareholders shares are
watered down by about R8 million in value, as the company is worth about R32 million before allotting
the new shares to the BEE partner.
